Operator, Contact Information, and Acceptance

These Terms of Service govern your use of GiftLink, a service operated by CoreStack Digital. Throughout these Terms, "GiftLink," "we," "us," and "our" refer to CoreStack Digital.

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

Definitions

For the purposes of these Terms:

• Service refers to the GiftLink website and application.
• User refers to any individual accessing or using the Service.
• Wishlist refers to the list of desired items created by Users.
• Gift Reservation refers to a User's nonbinding indication of intent to purchase an item on another User's Wishlist.
• Content refers to information, text, graphics, links, or other material Users post, link, store, or share through the Service.

Eligibility and Accounts

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you represent that you have the consent of a parent or guardian.

When you create an account, you must provide accurate, complete, and up-to-date information. You may not impersonate another person, create accounts for others without authorization, or share your account credentials.

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to use a reasonably secure password and to notify us immediately at support@giftlink.cloud if you suspect any breach of security or unauthorized use.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe were created through automated or fraudulent means.

Service Description, Reservations, & Limitations

GiftLink provides tools for creating, sharing, and reserving gift wishlists. A Gift Reservation is an informational, nonbinding indication that a User may intend to purchase a wishlist item.

• GiftLink does not process the purchase, verify availability, reserve inventory with a merchant, guarantee that the item will be purchased, or guarantee that duplicate purchases will not occur.
• Reservations may expire or be removed according to Service features and settings.
• Anyone in a user's group may view the wishlist, so share links carefully.
• Users may hide their wishlists from all group members if they choose. This is an all-or-nothing setting and can't be done on a per-user basis.
• Some GiftLink features interact with third-party services. We offer these services on a best-effort basis, as changes to the third-party services could negatively impact those specific GiftLink features.

User Content, Wishlist Privacy, and Licenses

You retain ownership of any Content you submit to the Service. You are solely responsible for the legality, reliability, and appropriateness of your Content.

By submitting Content, you grant GiftLink a non-exclusive, worldwide, royalty-free license to host, store, process, display, and make the Content available solely to operate, maintain, secure, improve, and provide the Service. This license is sublicensable only as necessary to use our service providers, and transferable only in connection with a business transfer of GiftLink.

We reserve the right, but have no obligation, to remove Content, disable links, or suspend accounts for safety, legal compliance, abuse, or policy violations. You may report abuse, infringement, impersonation, or unsafe Content to support@giftlink.cloud.

You may not use the Service to post illegal goods or services, dangerous items, scams, deceptive listings, infringing material, or Content that exposes sensitive personal information about others without permission.

Third-Party Sites, Retailers, and Affiliate Disclosures

Wishlist links are supplied by Users or generated from User input. GiftLink does not sell, fulfill, ship, warranty, price, or control third-party products, retailers, availability, seller conduct, checkout processes, or external-site content.

• GiftLink does not endorse or verify third-party merchants or listings.
• Product price, images, shipping, taxes, availability, safety, and descriptions may change or be inaccurate.
• Your transaction is solely with the retailer or seller.
• External sites have their own terms and privacy policies.
• GiftLink has no control over third-party content or actions, and the availability of third-party websites that GiftLink may interact with to provide the Service.
• If GiftLink uses affiliate links, we will disclose that relationship clearly where you encounter the link.

Acceptable Use and Enforcement

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Impersonate or attempt to impersonate GiftLink, a GiftLink operator, another user, or any other person or entity.
• Use crawlers, scrapers, bots, or other automated means to access or extract data from the Service.
• Circumvent rate limits, reverse engineer the Service, or interfere with its operation.
• Upload malware, phishing material, or content that harms users or systems.
• Advertise or promote products or services without our prior written consent.
• Engage in conduct that restricts or inhibits anyone's use or enjoyment of the Service, or that may harm GiftLink or its users.

Intellectual Property and Copyright Complaints

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of CoreStack Digital and its licensors. The Service is protected by copyright, trademark, and other laws.

If you believe Content on the Service infringes your copyright, please send a notice to support@giftlink.cloud with the information required by applicable law, and we will respond as appropriate.

Payments and Subscriptions

GiftLink is a paid service. We use third parties to process payments or subscriptions. GiftLink does not have access to or store your payment information. You agree to pay all fees and charges associated with your account, including applicable taxes. We may change our pricing or subscription terms at any time, and we will provide notice of material changes in advance.

Once a subscription has been cancelled or expired, you will lose access to the GiftLink Service, and any data associated with account may be deleted or become inaccessible immediately. New subscriptions will require creating a new service account.

Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and share information about you and your use of the Service.

Suspension, Termination, and Data Handling

We may suspend or terminate your account if you violate these Terms, engage in fraud or abuse, compromise security, or if we are required to do so by law or to protect GiftLink, its users, or others.

Upon termination, your right to use the Service will immediately cease. You may request account deletion by contacting support@giftlink.cloud. When an account is deleted, personal data and wishlist Content are deleted or anonymized within a reasonable period, subject to backup retention and legal obligations. Shared links may stop working after deletion.

Provisions that by their nature should survive termination will survive, including intellectual property rights, disclaimers, limitation of liability, indemnity, and dispute-resolution terms.

Disclaimers

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, error-free, or virus-free, or that any Content, product information, reservations, or third-party links are accurate, complete, or reliable.

Limitation of Liability

To the fullest extent permitted by applicable law, CoreStack Digital and its operators, directors, employees, partners, agents, suppliers, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

Our total liability for any direct damages arising out of or relating to these Terms or the Service will not exceed the greater of the amounts you paid to GiftLink in the prior 12 months or $100, except where such a limitation is prohibited by law.

Indemnification

You agree to defend, indemnify, and hold harmless CoreStack Digital and its operators, directors, employees, agents, and affiliates from and against any third-party claims, damages, liabilities, costs, and expenses arising out of your Content, your violation of these Terms, your misuse of the Service, or your violation of any applicable law or third-party right.

Governing Law, Venue, and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-law provisions.

Any legal action arising out of or relating to these Terms or the Service must be brought in the state or federal courts located in New Jersey. Both parties submit to the personal jurisdiction of those courts. This section does not prevent either party from seeking injunctive relief in any appropriate jurisdiction.

Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on this page, updating the effective date, and, where practical, sending an email or in-app notice at least 30 days before the changes take effect. Continued use of the Service after the effective date means you accept the revised Terms.

For non-material changes, updates will take effect when posted. We encourage you to review these Terms periodically.

General Provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right does not waive that right. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets.
